Terms of Service

These Terms of Service ("Terms") govern your access to and use of Protiq AI's software and services ("Service"). By signing up for or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to create an account. By using the Service, you represent that you meet this requirement and have the legal authority to enter into this agreement.

2. Account Registration

You agree to:

• Provide accurate, current, and complete information during signup.
• Keep your login credentials confidential and not share them.
• Be responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

3. Subscription, Billing, and Cancellation

Protiq AI is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate disclosed at signup.

• Subscriptions auto-renew until cancelled.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial periods, but we may grant them at our discretion.
• If payment fails, we may suspend access until payment is resolved.
• We may change pricing with 30 days' notice via email.

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose.
• Send SMS or email messages to recipients who have not opted in or have opted out.
• Upload or transmit malware, viruses, or harmful code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the Service to harass, abuse, or harm others.
• Scrape, copy, or resell data from the Service.
• Impersonate any person or entity.
• Bypass or attempt to bypass rate limits or other technical restrictions.

Violating these terms may result in immediate account termination without refund.

5. Your Data and Customer Data

You retain ownership of all data you enter into the Service ("Your Data"), including member records, payment data, and other business information.

If you are a gym owner or trainer, you are the data controller for your members' and leads' information. You are responsible for:

• Obtaining proper consent before entering or messaging contacts.
• Complying with all applicable privacy laws (CCPA, GDPR, TCPA, CAN-SPAM, etc.).
• Responding to data access, correction, and deletion requests from your members.

You grant us a limited license to host, process, and display Your Data solely to operate the Service.

6. Communications Compliance

If you use Protiq AI to send SMS or email to your members or leads, you agree:

• You have obtained the recipient's prior express consent before sending marketing messages.
• You will honor opt-out requests immediately.
• You are solely responsible for compliance with TCPA, CAN-SPAM, and any other applicable law.
• You will indemnify Protiq AI against any claim arising from your messaging practices.

7. Intellectual Property

The Service, including all software, designs, logos, and content created by Protiq AI, is our property and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable license to use the Service per these Terms.

8. Third-Party Services

The Service integrates with third-party providers (Stripe for payments, Twilio for SMS, Anthropic for AI features, and others). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

9. AI Features

Protiq AI uses artificial intelligence (powered by Anthropic) to provide features like Speed to Lead chat. AI responses may contain errors or inaccuracies. You are responsible for reviewing AI-generated content before relying on it for business decisions or communications. AI responses are not financial, legal, or medical advice.

10. Service Availability

We strive for high uptime but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance that temporarily affects availability. We are not liable for downtime caused by third-party providers, internet failures, or events outside our control.

11. Termination

You may cancel your account at any time. We may suspend or terminate your account if you:

• Violate these Terms.
• Fail to pay fees owed.
• Engage in conduct that harms us, our users, or third parties.

Upon termination, your access to the Service ends. Your Data may be retained for up to 90 days for backup and dispute resolution, then deleted (subject to legal retention requirements).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTIQ AI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

14. Indemnification

You agree to indemnify and hold harmless Protiq AI from any claim, loss, or expense arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including your members' privacy rights and communication consents).

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in Georgia, and you consent to that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
